Noetic / Protocol Layer

Terms of Service

These terms govern access to Noetic's developmental AI demo and related systems, including acceptable use, account responsibility, safety constraints, future payment rules, and liability boundaries.

1. Acceptance

By visiting noetic.ai, using the demo application, or otherwise interacting with the Noetic service, you agree to these Terms of Service.

If you are under 16, a parent or legal guardian must review and accept these terms on your behalf. Their signed email confirmation is required before personal data is collected.

2. About the service

Noetic is a personal, non-profit hobby project built by George Katavatis and Pany Katavatis. At this stage there is no registered company, no employees, and no operating revenue.

The service is offered free of charge for testing, learning, and demonstration purposes only. No warranty of commercial readiness or commercial performance is made.

  • Persistent short-term memory built on SQLite.
  • An emotion engine with multiple internal state variables.
  • Goal generation and autonomous decision-making behavior.
  • Natural-language output delivered through a local LLM or custom endpoint.
  • A hard-coded safety hierarchy, including "user-life = 1.0", enforced by a separate STM32 MCU.

3. User account and conduct

You may create an account using an email address and password. You are responsible for safeguarding your credentials and for all activity that occurs through your account.

  • Do not reverse-engineer, decompile, or disassemble any part of the software, firmware, or hardware design.
  • Do not use the robot, whether real or simulated, to cause bodily harm, property damage, or illegal activity.
  • Do not tamper with or attempt to override the safety-controller MCU.
  • Do not collect, store, or distribute personal data belonging to third parties without explicit consent.
  • Do not use the service for harassment, hate speech, or any activity that violates applicable law.

4. User-generated content and data license

You retain ownership of any text, voice, images, code, or other material you submit to the service.

By submitting user content, you grant Noetic a non-exclusive, royalty-free, worldwide license to store, process, and transmit that content solely for operating the service.

If you explicitly opt in, anonymized content may also be included in a future Noetic Dataset Marketplace.

You may withdraw that opt-in at any time by emailing privacy@noetic.ai, and Noetic will stop using your data for marketplace purposes within 30 days.

5. Payments and subscriptions (future)

The service is currently free. If a paid tier is introduced in the future, additional payment and subscription terms may apply.

  • Payments would be processed by a third-party provider such as Stripe.
  • Fees would be billed in advance on a monthly or annual basis unless stated otherwise.
  • Charges would be non-refundable unless required by law.
  • Access could be suspended for non-payment after 7 days' written notice.

6. Safety and liability

The safety hierarchy is designed so that user safety takes priority over robot state or mission completion, and key protections are enforced by an independent microcontroller.

The service is provided "as is" and "as available" without warranties of any kind, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy of AI output, or safety of physical robot operation.

To the fullest extent permitted by law, Noetic is not liable for indirect, incidental, special, consequential, or punitive damages, loss of profits, loss of revenue, loss of data, or loss of business opportunity.

Noetic is also not liable for personal injury or death resulting from misuse of the demo or failure to follow safety instructions, except where caused by gross negligence or willful misconduct by the founders.

In any event, Noetic's total aggregate liability will not exceed the amount you paid to Noetic in the 12 months before the claim. At present that amount is EUR 0.

7. Indemnification

You agree to defend, indemnify, and hold harmless Noetic, the two founders, their parents or guardians, and any future corporate entity from claims, liabilities, damages, losses, and reasonable legal expenses arising out of the following:

  • Your breach of these terms.
  • Your violation of any law or third-party right.
  • User content you submit that infringes another party's intellectual property or other rights.

8. Termination

  • We may terminate or suspend your access immediately, without notice, if you breach these terms or behave in a way we reasonably consider harmful to the service or other users.
  • Upon termination, you must stop using the service.
  • We may delete your data after termination except where retention is required for legal compliance.

9. Governing law and dispute resolution

  • These terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-laws principles, and by applicable GDPR protections for EU residents where relevant.
  • Disputes will be resolved by binding arbitration in Atlanta, Georgia, under the rules of the American Arbitration Association.
  • You may still seek injunctive relief in a competent court when necessary to protect personal data or safety rights.
  • The prevailing party may recover reasonable attorneys' fees where permitted.

10. Export control

You agree to comply with all applicable US and EU export-control laws and may not export or re-export the service or related technology to embargoed or sanctioned countries.

11. Changes to the terms

  • We may modify these terms at any time.
  • When a material change occurs, we will post the updated terms on the website with a new version number and date.
  • If we hold your email address, we may also notify you directly.
  • Your continued use of the service after the effective date of revised terms constitutes acceptance.
